1. Acceptance of Terms

By creating an account or using NomadSignal ("the Service"), you agree to these Terms of Service. If you do not agree, do not use the Service.

NomadSignal is operated by RoboticForce, Inc. ("we," "our," or "us"). The Service is available at nomadsignal.io.

2. Service Description

NomadSignal is a jurisdiction intelligence platform. We provide tools for researching, comparing, and tracking jurisdictions for business incorporation and personal relocation. This includes jurisdiction scoring, compliance alerts, plan management, presence tracking, and a marketplace for professional service providers.

Important: NomadSignal provides informational tools only. Nothing on this platform constitutes legal, tax, immigration, or financial advice. Jurisdiction data, scores, and compliance alerts are for informational purposes and may not reflect your specific situation. Always consult qualified legal, tax, and immigration professionals before making decisions about incorporation, relocation, or tax residency.

3. Account Responsibilities

• -You must provide a valid email address to create an account
• -You are responsible for all activity under your account
• -You must not share your account credentials or session tokens with others
• -You must notify us promptly if you suspect unauthorized access to your account
• -You must be at least 18 years old to use the Service

4. Acceptable Use

You agree not to:

• -Use the Service for any unlawful purpose or to facilitate illegal activity
• -Scrape, crawl, or bulk-download data from the platform without written permission
• -Attempt to access other users' accounts or data
• -Upload malicious files or content designed to disrupt the Service
• -Misrepresent your identity or professional qualifications on the marketplace
• -Resell or redistribute NomadSignal data without an API license
• -Circumvent subscription limits or access controls

5. Subscriptions and Payments

NomadSignal offers free and paid subscription tiers. Paid subscriptions are billed through Stripe on a monthly or annual basis.

• -Prices are listed on our pricing page and may change with 30 days notice
• -Subscriptions renew automatically unless cancelled before the renewal date
• -You can cancel your subscription at any time through Stripe or by contacting us. Cancellation takes effect at the end of the current billing period.
• -We do not offer refunds for partial billing periods. If you cancel mid-cycle, you retain access until the period ends.
• -If payment fails, we may downgrade your account to the free tier after a grace period

6. Your Content

You retain ownership of all data and files you upload to NomadSignal. By using the Service, you grant us a limited license to store, process, and display your content solely to provide the Service to you and those you share it with (such as professionals you engage with).

We do not use your content to train machine learning models, and we do not sell or share it with third parties except as described in our Privacy Policy.

7. Intellectual Property

The NomadSignal platform, including its design, code, scoring methodology, jurisdiction data, and branding, is our intellectual property or licensed to us. You may not copy, modify, distribute, or create derivative works from any part of the Service without written permission.

Access to jurisdiction data through our API is governed by your API tier agreement and usage limits.

8. Marketplace

The NomadSignal marketplace connects users with third-party professional service providers. We do not employ, endorse, or guarantee the quality of any marketplace listing or provider.

• -Transactions between users and providers are between those parties directly
• -We are not responsible for the accuracy of provider listings or qualifications
• -Disputes between users and providers should be resolved between those parties

9. Disclaimer of Warranties

The Service is provided "as is" and "as available" without warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

We do not warrant that:

• -Jurisdiction data, scores, or compliance alerts are complete, accurate, or current
• -The Service will be uninterrupted, secure, or error-free
• -The Service will meet your specific requirements

You acknowledge that jurisdiction regulations change frequently and that our data may not reflect the most recent changes. You are responsible for independently verifying any information before relying on it.

10. Limitation of Liability

To the maximum extent permitted by law, RoboticForce, Inc. (operating as NomadSignal) and its officers, directors, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Service. This includes, without limitation, damages for lost profits, lost data, business interruption, or any decisions made based on information provided through the platform.

Our total liability for any claim related to the Service is limited to the amount you paid us in the 12 months preceding the claim, or $100 CAD, whichever is greater.

11. Termination

You can delete your account at any time by contacting us at [email protected].

We may suspend or terminate your account if you violate these Terms, engage in abusive behavior, or if required by law. We will make reasonable efforts to notify you before termination unless circumstances prevent it (such as fraud or legal obligation).

Upon termination, your right to use the Service ends immediately. We may retain certain data as required by law or as described in our Privacy Policy.

12. Changes to These Terms

We may update these Terms from time to time. If we make material changes, we will notify you by email or through the platform at least 30 days before the changes take effect. Continued use of the Service after changes take effect constitutes acceptance of the updated Terms.

13. Governing Law

These Terms are governed by and construed in accordance with the laws of Canada and the province of Ontario, without regard to conflict of law principles. Any disputes arising from these Terms or the Service shall be subject to the exclusive jurisdiction of the courts located in Ontario, Canada.
